Terms of Service
These Terms of Service ("Terms") govern your use of the PaidUp mobile application (the "App") and the website at paidupnow.app (the "Site"), operated by Elias Gomez, a sole proprietor ("PaidUp", "we", "us", or "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. What PaidUp is
PaidUp is a mobile application that lets you track informal debts between yourself and people you personally know. The free tier provides a local ledger stored only on your device. The Pro tier adds cloud synchronization across your devices and an automated reminder pipeline that sends scheduled text messages and emails to the people who owe you money.
2. Eligibility
You must be at least 13 years old to use PaidUp. If you are under 18, you must have permission from a parent or legal guardian. You must have the legal capacity to enter into these Terms in your jurisdiction.
3. Acceptable use and user attestation
3.1 Personal relationship requirement
By adding a contact to PaidUp, you represent and warrant that:
- You have a personal, pre-existing relationship with that contact (friend, family member, roommate, or similar).
- The contact has voluntarily given you their phone number and/or email address and permits you to use it to communicate with them about informal debts between you.
- You are not acting on behalf of a business, collection agency, employer, or other organization.
3.2 Prohibited uses
You will not use PaidUp to:
- Collect commercial or business debts.
- Send messages to people you do not personally know or who have not consented to receive them.
- Harass, threaten, intimidate, defame, or embarrass any person.
- Attempt to collect debts that are disputed, discharged in bankruptcy, or barred by statute of limitations.
- Impersonate any person or misrepresent the amount, nature, or legal status of a debt.
- Send political, religious, marketing, or solicitation content.
- Violate any applicable law, including the Fair Debt Collection Practices Act (FDCPA), Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or state equivalents.
- Circumvent opt-out requests, STOP keyword honoring, or quiet hours.
- Reverse engineer, decompile, or attempt to extract source code from the App.
3.3 Enforcement
We reserve the right to suspend or terminate any account that violates these rules, with or without notice, and to cooperate with law enforcement in investigating violations. Terminated accounts are not eligible for refunds.
4. Subscription and billing (Pro tier)
4.1 Pricing
PaidUp Pro is available as a monthly subscription for $3.99 USD per month or an annual subscription for $24.99 USD per year. Prices may change with notice before the start of a new billing period.
4.2 Billing through Apple
All subscription payments are processed by Apple through the App Store using your Apple ID. Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage or cancel your subscription at any time in Settings → Apple ID → Subscriptions on your device.
4.3 Refunds
Subscription refunds are handled by Apple and governed by Apple's refund policy. PaidUp cannot issue refunds directly. You may request a refund from Apple at reportaproblem.apple.com.
4.4 What happens if you cancel
When your Pro subscription ends, the automated reminder pipeline stops for all of your contacts, and cloud sync pauses. Your local ledger on your device is not affected. You can resubscribe at any time.
5. Your content and data
You retain all rights to the debts, payment records, contact information, and other data you enter into the App ("Your Content"). By using the App, you grant PaidUp a limited, worldwide, royalty-free license to store, process, transmit, and display Your Content solely to provide the service to you and to carry out actions you explicitly request (such as sending reminders).
You are responsible for ensuring that any contact information you enter has been provided to you with permission to use it for this purpose.
6. Intellectual property
The PaidUp name, logo, App, Site, and all associated software, designs, and documentation are owned by PaidUp and protected by copyright, trademark, and other laws. These Terms do not grant you any right to use PaidUp's trademarks or branding.
7. Third-party services
PaidUp relies on third-party services to deliver the product, including Apple (App Store, in-app purchases), Supabase (cloud storage and authentication), RevenueCat (subscription management), Twilio (SMS delivery), Resend (email delivery), and Cloudflare (website hosting). Your use of these services through PaidUp is also subject to their respective terms and privacy policies. PaidUp is not responsible for the availability, accuracy, or policies of third-party services.
8. Payment links
PaidUp allows you to save payment handles (Venmo, Cash App, PayPal, Zelle, Apple Pay Cash) for contacts and includes them as deep links in reminder messages. PaidUp does not process payments, hold funds, or act as a party to any transaction between you and your contacts. All payments occur directly through the relevant third-party payment service. PaidUp is not responsible for the completion, accuracy, or consequences of any payment.
9. Disclaimers
THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PaidUp does not guarantee that reminders will be delivered, that debts will be repaid, or that the App will be available without interruption or error. PaidUp is not a debt collector, a legal service, or a financial institution. Nothing in the App constitutes legal or financial advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDUP AND ITS OWNERS, OPERATORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.
PAIDUP'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU HAVE PAID TO PAIDUP IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless PaidUp and its owners from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim brought by a contact you added to PaidUp, including TCPA, FDCPA, or CAN-SPAM claims relating to messages sent at your direction.
12. Termination
You may stop using the App at any time. You may delete your account from within the App at any time, which purges your ledger data from our servers within 30 days.
We may suspend or terminate your access to the App at any time for any reason, including violation of these Terms. Upon termination, all rights granted to you under these Terms end immediately.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in the App at least 7 days before taking effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the App will be resolved in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.
